These Terms of Service (the "Terms") are a binding agreement between you and Akumi ("we", "us") and govern your access to and use of the Akumi platform, APIs, and website (the "Service"). By creating an account or using the Service, you agree to these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
"Customer content" means the prompts, documents, and data you submit to the Service. "Output" means the responses the models return. "End-user" means an individual whose data you process through the Service. "Credits" means the prepaid units used to meter and pay for usage.
Akumi provides an EU-sovereign, OpenAI-compatible inference API and optional governance modules, metered per use. We may add, change, or deprecate features over time, and will give reasonable notice before materially changing or removing a documented interface.
You are responsible for your account, your API keys, and all activity that occurs under them. You must keep credentials confidential, use the access controls the platform provides, and notify us promptly at security@akumi.cloud of any suspected unauthorized use. You must provide accurate registration information and keep it current.
You agree not to, and not to permit anyone to:
As between you and Akumi, you retain all rights to your customer content and to the Output you receive. You grant us only the limited rights needed to operate the Service for you, and we process customer content under the Data Processing Agreement. We do not use your customer content to train or improve any models.
We and our licensors retain all rights in the platform, software, and documentation. These Terms grant you no rights in them except the right to use the Service as described.
If you allow routing to an external or non-EU model, your use of that model may also be subject to the provider's terms, and you are responsible for that choice. Akumi governs the request through the firewall, routing policy, and egress guard, but does not control and is not responsible for the content of a third-party model's Output beyond those governance functions.
Model Output can be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for evaluating Output and for any decisions or actions you take based on it. The Service is not a substitute for professional, legal, medical, or financial advice.
Usage is metered and drawn from prepaid credits or billed per your plan. Base inference and each governance module are metered on their own line. Fees are exclusive of taxes, which you are responsible for. Unless required by law, fees and credits are non-refundable. We may change pricing with reasonable prior notice, effective on your next billing period.
We work to keep the Service available and secure, but it is provided without a guarantee of uninterrupted or error-free operation unless a separate service-level agreement applies. Support is provided according to your plan.
We may offer features identified as beta, preview, or experimental. These are provided on an as-available basis, may change or be withdrawn, and are excluded from any availability or support commitments.
Each party may receive non-public information of the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully obtained without a duty of confidentiality.
Each party warrants that it has the authority to enter into these Terms. Except as expressly stated, the Service is provided on an as-is and as-available basis, and we disclaim all other warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You will defend and indemnify Akumi against third-party claims arising from your customer content, your use of the Service in breach of these Terms, or your violation of law or third-party rights, subject to the allocation of responsibility to be set out in the final agreement.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's total liability arising out of these Terms is intended to be capped at the fees paid or payable for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, either party's indemnification obligations, or a breach of confidentiality. Nothing in these Terms limits liability that cannot be limited by law.
These Terms apply while you use the Service. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the security or integrity of the Service. You may stop using the Service and close your account at any time.
On termination, your right to use the Service ends, and customer data is handled as set out in the Data Processing Agreement. Terms that by their nature should survive, such as confidentiality, IP, disclaimers, and limitation of liability, survive termination.
We may update these Terms as the Service evolves. We will post the updated version with a new date and, for material changes, give notice through the Service or by email. Your continued use after the changes take effect constitutes acceptance.
These Terms are governed by the laws of the European Union member state in which Akumi is established, and the competent courts of that member state have exclusive jurisdiction, except where mandatory consumer or local law provides otherwise.
These Terms, together with the Data Processing Agreement and any order, are the entire agreement between the parties. You may not assign them without our consent; we may assign them to an affiliate or successor. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
